Welcome to PerfectCSR.AI. These Terms of Service constitute a legally binding agreement between you and PerfectCSR.AI Inc. governing your access to and use of our AI-powered customer service platform, website, APIs, and all related services.
Throughout this document, when we refer to "we", "us", or "our", we mean PerfectCSR.AI Inc. and its affiliates. When we refer to "you" or "your", we mean you as the user of our services, whether as an individual or on behalf of an organization.
IMPORTANT: By accessing or using our Services, creating an account, or clicking "I Agree", you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not access or use our Services.

1. Eligibility and Authority
1.1 Age and Capacity
You must be at least 18 years old and have the legal capacity to enter into binding contracts. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
1.2 Business Use
Our Services are designed for business and professional use. By using the Services, you represent that you are acting in a business capacity and not as a consumer.
2. Description of Services
PerfectCSR.AI provides an AI-powered customer service platform that enables businesses to:
- Build AI Chatbots: Create and customize intelligent chatbots trained on your business data
- Multi-Channel Deployment: Deploy chatbots across websites, mobile apps, WhatsApp, Messenger, and other platforms
- Knowledge Base Management: Upload documents, FAQs, and training materials to power your AI
- Analytics & Insights: Access comprehensive analytics on chatbot performance and customer interactions
- Integrations: Connect with third-party tools including CRM, e-commerce, and helpdesk platforms
- API Access: Programmatic access to our platform for custom integrations
- Human Handoff: Seamless escalation to human agents when needed
3. Account Registration and Security
3.1 Account Creation
To access certain features, you must create an account. You agree to:
- Provide accurate, current, and complete registration information
- Maintain and promptly update your account information
- Keep your password secure and confidential
- Immediately notify us of any unauthorized access or security breach
3.2 Account Responsibility
You are responsible for all activities that occur under your account, whether or not authorized by you. We are not liable for any loss or damage arising from unauthorized account access resulting from your failure to safeguard your credentials.

4. Subscription Plans and Payments
4.1 Plans and Pricing
We offer various subscription plans with different features and usage limits. Current pricing and plan details are available on our website. Prices may change with 30 days' prior notice to existing customers.
4.2 Billing
- Subscriptions are billed in advance on a monthly or annual basis depending on your selected plan
- You authorize us to charge your designated payment method for all applicable fees
- Usage-based charges (if applicable) are billed in arrears
- All amounts are exclusive of taxes unless otherwise stated
4.3 Free Trials
We may offer free trial periods. Unless you cancel before the trial ends, you will be automatically charged for the selected subscription plan. Trial terms may vary and are subject to additional conditions.
4.4 Refunds and Cancellation
- Monthly subscriptions: Cancel anytime; access continues until the end of the billing period
- Annual subscriptions: May be cancelled anytime; no refunds for unused portions unless required by law
- Refund requests for exceptional circumstances will be evaluated on a case-by-case basis
5. Acceptable Use Policy
5.1 Permitted Use
You may use the Services only for lawful business purposes in accordance with these Terms. You agree to comply with all applicable laws, regulations, and industry standards.
5.2 Prohibited Activities
You agree NOT to:
- Use the Services for any illegal, fraudulent, or harmful purposes
- Violate any intellectual property rights, privacy rights, or other rights of third parties
- Upload or transmit malware, viruses, or other malicious code
- Attempt to gain unauthorized access to our systems or other users' accounts
- Interfere with or disrupt the integrity or performance of the Services
- Use the Services to send spam, unsolicited messages, or deceptive communications
- Train AI models to generate harmful, misleading, or inappropriate content
- Reverse engineer, decompile, or attempt to extract source code from the Services
- Resell or sublicense the Services without our express written permission
- Use the Services in a way that violates OpenAI, Google, or other underlying AI provider terms
5.3 AI-Specific Guidelines
When training and deploying AI chatbots, you must:
- Ensure training data does not contain illegal, defamatory, or harmful content
- Clearly disclose to end-users when they are interacting with an AI chatbot
- Not use AI to impersonate real individuals without consent
- Implement appropriate human oversight for critical decisions
- Comply with AI-specific regulations applicable in your jurisdiction
6. Your Content and Data
6.1 Ownership
You retain all ownership rights to content you upload to the Services ("Your Content"), including training data, knowledge base materials, and configurations. We claim no ownership over Your Content.
6.2 License Grant
By uploading Your Content, you grant us a non-exclusive, worldwide, royalty-free license to use, process, store, and display Your Content solely to provide and improve the Services. This license ends when you delete Your Content or terminate your account.
6.3 Your Responsibilities
You are solely responsible for:
- The accuracy, quality, and legality of Your Content
- Ensuring you have all necessary rights to upload and use Your Content
- Compliance with applicable data protection laws when processing personal data
- Obtaining necessary consents from end-users interacting with your chatbots
6.4 Data Processing
Our processing of personal data is governed by our Privacy Policy and, where applicable, our Data Processing Agreement (DPA). Enterprise customers may request a DPA by contacting legal@perfectcsr.ai.

Your data is yours. We only use it to provide our Services. Make sure you have the right to upload any content and that you comply with privacy laws when collecting data from your customers.
7. Our Intellectual Property
7.1 Ownership
PerfectCSR.AI owns all rights, title, and interest in the Services, including all software, technology, designs, trademarks, and content we create. Nothing in these Terms transfers any ownership to you.
7.2 License to Use
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services during your subscription period.
7.3 Feedback
If you provide suggestions, ideas, or feedback about the Services, you grant us the right to use such feedback without restriction or compensation to you.
8. Third-Party Services
The Services may integrate with third-party platforms and services. Your use of third-party services is subject to their respective terms and privacy policies. We are not responsible for third-party services and do not endorse or guarantee their performance.
9. Service Availability and Support
9.1 Availability
We strive to maintain high availability but do not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance when possible. We are not liable for any downtime or service interruptions.
9.2 Support
Support levels vary by subscription plan:
- Free/Starter: Community support and documentation
- Professional: Email support with 24-hour response time
- Enterprise: Priority support with dedicated account management
9.3 Service Level Agreement

10. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND QUIET ENJOYMENT.
We do not warrant that:
- The Services will be uninterrupted, secure, or error-free
- AI-generated responses will be accurate, complete, or appropriate in all situations
- The Services will meet all your specific requirements
- Any defects will be corrected
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- PERFECTCSR.AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES
- OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM
- WE ARE NOT LIABLE FOR LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL
These limitations apply even if we have been advised of the possibility of such damages and regardless of the legal theory upon which the claim is based.
12. Indemnification
You agree to defend, indemnify, and hold harmless PerfectCSR.AI, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:
- Your use of the Services
- Your Content or training data you provide
- Your violation of these Terms
- Your violation of any third-party rights
- Your end-users' interactions with your AI chatbots
13. Termination
13.1 Termination by You
You may terminate your account at any time through your account settings or by contacting support.
13.2 Termination by Us
We may suspend or terminate your access immediately, without prior notice, for:
- Violation of these Terms or our Acceptable Use Policy
- Non-payment of fees after reasonable notice
- Conduct that we reasonably believe may harm us, other users, or third parties
- Extended periods of inactivity
- Legal or regulatory requirements
13.3 Effect of Termination
Upon termination:
- Your access to the Services will cease immediately
- You may request export of Your Content within 30 days
- We may delete Your Content after a reasonable retention period
- Provisions that by their nature should survive will remain in effect
14. Modifications to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through the Services at least 30 days before taking effect. Your continued use of the Services after changes become effective constitutes acceptance of the modified Terms.
15. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles. Any legal action shall be brought exclusively in the federal or state courts located in Delaware.
16. Dispute Resolution
16.1 Informal Resolution
Before initiating formal proceedings, you agree to contact us at legal@perfectcsr.ai to attempt to resolve any dispute informally within 30 days.
16.2 Arbitration
Any disputes that cannot be resolved informally shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in English and held in Delaware.
16.3 Class Action Waiver
You agree to resolve disputes on an individual basis and waive any right to participate in a class action, class arbitration, or representative proceeding.
17. General Provisions
- Entire Agreement: These Terms constitute the entire agreement between you and PerfectCSR.AI regarding the Services
- Severability: If any provision is found unenforceable, the remaining provisions remain in effect
- Waiver: Our failure to enforce any right does not waive future enforcement
- Assignment: You may not assign these Terms; we may assign them to an affiliate or successor
- Force Majeure: Neither party is liable for delays caused by circumstances beyond reasonable control
